White Collar Mafiosos (And Their CPA) Arrested For Strong-Arming Their Way To Business Ownership

A mobster, a lawyer and an accountant walk into a bar… Okay, maybe not.

Yesterday, thirteen people – including five lawyers and a Certified Public Accountant – were arrested in early morning raids in New Jersey, Florida and Texas for their part in a complicated scheme that involved taking a mortgage company by force and frittering away its assets.

Federal prosecutors say the son of imprisoned crime boss Nicodemo D. “Little Nicky” Scarfo and his associate Salvatore Pelullo took over Irving, TX mortgage company FirstPlus Financial Group, a company with plenty of cash but very little sophistication. The change in ownership was not amicable for both involved parties. According to the indictment, Pelullo told a member of the FirstPlus board that if he did not go along with the planned takeover, “your kids will be sold off as prostitutes.” Harsh. At what B-school do they teach that tactic?


The indictment goes on to allege that Pelullo wanted the company’s board to agree to give control over to his and Scarfo’s new board of directors and that he wasn’t willing to wait around for this to happen. “I don’t care if they’re in a funeral parlor, I don’t care if they’re in a [bad word] hospital on a respirator, we’ll send somebody there. I want their vote, I want their signature, and I want it done by the close of the day today,” he is alleged to have said to other individuals also charged in the scam.

Among those indicted are former FirstPlus Chief Executive Officer John Maxwell and former Chief Financial Officer William Handley. Court documents show that both individuals were placed on the board by, er, unconventional means that don’t include the desires of shareholders ifyouknowwhatI’msayin.

Fun fact: former Vice President Dan Quayle was once a FirstPlus board member. He is not mentioned in any indictments. Also, former Miami Dolphins quarterback Dan Marino used to be a shill for FirstPlus. The company filed for bankruptcy in 1999 and, according to a Chapter 11 filing from June of this year, was dormant but profitable due to a securitized pool of mortgages it expected to make a profit from for at least a decade. Ernst & Young resigned as the company’s auditor in 1999, citing, uh, irreconcilable differences but not anything to do with accounting issues or, you know, the fact that the company was basically broke.

The 25-count indictment includes charges of money laundering, bank fraud, wire fraud, mail fraud, securities fraud, extortion and obstruction of justice.

Authorities say that the (alleged) criminal masterminds took $12 million from the company in a year and spent it on multiple homes, weapons and ammo, pricey luxury vehicles, a plane, jewelry and a yacht. You know, the usual.

MF Global Holdings Ltd. (MF)’s bankruptcy, the eighth-largest in U.S. history, is exposing a lack of internal controls that may have prevented a last-minute rescue of Jon Corzine’s futures broker. The day it filed for Chapter 11 protection, New York-based MF Global disclosed a shortfall in customer accounts that people with knowledge of the matter said may be about $700 million. CME Group Inc., which has the authority to audit those accounts, said yesterday it didn’t know how much client money was missing.

Judge BlBuying TaxAct [AT]
A federal judge has ruled against H&R Block to prevent the tax prep giant from moving forward with its $287.5 million acquisition of 2SS Holdings, whose 2nd Story Software unit develops TaxAct software, after the Justice Department objected to the deal.

Tax impasse threatens US deficit progress [FT]
Negotiations to strike a deal that could revive confidence in America’s ability to control its public finances are reaching a critical juncture, with a 12-member panel of Congress – equally split between Republicans and Democrats – weighing competing proposals to break the impasse. But so far there is scant evidence that a large-scale fiscal compromise is in the works, with big divisions persisting, particularly over taxes. The so-called “supercommittee” is due to report on November 23, and if a majority cannot recommend at least $1,200bn in savings for the US government over the next decade, a “trigger” will force automatic spending cuts worth that amount starting in 2013.

Deficit Panel Is Warned That It Must Not Fail and Is Urged to Compromise [NYT]
A co-chairman of President Obama’s fiscal commission told members of a powerful Congressional panel on deficit reduction Tuesday that he feared they would fail, and he said the consequences of such failure could be calamitous. Four experts on fiscal policy — two Democrats and two Republicans — told the panel that Congress should reduce the budget deficit by adopting spending cuts and increases in tax revenues. One co-chairman of the president’s fiscal commission, Erskine B. Bowles, said he had great respect for each member of the committee, but added, “I am worried you’re going to fail — fail the country.” Former Senator Alan K. Simpson, the other co-chairman of the commission, denounced Grover G. Norquist, the conservative antitax advocate, and AARP, the lobby for older Americans, saying both were obstructing efforts to reduce the deficit.

Cattles Claims ‘Gross Misstatement’ of Debt in PwC Audits [BBW]
Cattles has claims against PwC tied to the firm’s audits of its finances from 2005 through 2007 that could result in “substantial damages,” according to an outline of the case by Judge Henry Bernard Eder in London, who ruled yesterday on preliminary issues. The company said PwC’s audit led to a “gross misstatement” of the company’s bad debt. While an official complaint hasn’t yet been filed, Cattles was awarded some legal costs against PwC in an evidentiary dispute. Cattles claims groups of loans that were “ostensibly” set aside for debt collection were in reality just buckets for bad debt, Eder said in the ruling, which didn’t address the merits of the case. “Once the misstatements became clear, the group could not continue trading and became worthless.”

You’ve Been Denied by the Big 4. What Next?

Hello Going Concern,

I’m currently finishing my last semester at the University of Kentucky, I’m a fifth year student that will be graduating in December with a dual degree in accounting and economics. The recruitment period for the big 4, regional and local firms are all over and done. I applied to basically all of the positions/internships and was not asked to interview for any of them. At first, I naively thought they just weren’t hiring from my school, but the voice of reason deep inside my head finally convinced me that it was indy own doing. My GPA was simply too low (about a 3.1).

Granted, accounting is a challenging course of study, also majoring in econ certainly steals valuable time and energy towards getting that very good GPA. My problem now, is where to go from here. I can’t change the past and must move forward, from all indications I will graduate in December with no job prospects. Should I continue to push and attempt to network with the larger firms, or should I just try and get a position somewhere….anywhere, accounting related to develop some valuable experience? I didn’t do a good job at all of networking through college, just put my head down and hit the books. I’m not a social pariah by any means, however I know that this shyness of mine will not cut it and has hindered me tremendously at this point. I feel overwhelmed and a little disheartened at the makings of the future. If I don’t land a firm job will I be stuck in a perpetual rut in a dead end job? Is it important to avoid the private industry right out of college to get a taste of what you like in the public industry? How would you go about networking out of college, cold calling? I know I’ve asked a bunch of questions here, and maybe have not provided enough background information. To be outstanding you must stand out, now I’m at the crossroads of trying to do just that, but am a little unsure of how to start.

Playing the “I’m holding out for a job in public” doesn’t pay the rent or student loan bills. Not only are you up against stiff competition due to your lower-than-most-interns GPA, and self-decribed “shyness”, you’re fighting the timelines of every firm’s recruiting schedule. Meaning, the firms are done with their hiring needs by this point in time, especially if you are in a smaller market. You ask in your email to GC if you should “continue to push and attempt to network with the larger firms” only to admit in the next sentence that you “didn’t do a good job at all of networking through college, just put my head down and hit the books.” What the hell happened? Your email leaves me wondering if you simply dropped the ball on putting any effort into your job search, leaning too heavily on the notion that all you need is an accounting degree to receive free job handouts.

If going into public accounting was always the goal, your economics degree was not necessary. As “majoring in econ certainly steals valuable time and energy towards getting a very good GPA,” why didn’t you cut your losses after a few classes and drop the major? If your answer is “because I was interested in the subject,” I’m going to call bullshit. If you were so interested in the topic, one would safely assume you would, you know, do well in those classes.

But enough about the past – given that you are about six weeks from graduating, you need to be aggressive with your job search.

Contact Career Services – Your school’s career services should have resources available to help you overcome some of the interview/social anxiety you might have that has held you back in your efforts to network with employers up to this point. They can set you up with meetings, discussions groups, mock interviews, etc. Take advantage of these free resources now; in six weeks it’ll cost you.

Stop being so damn picky – Your questions above gave me the impression that you’re being too picky (dead end jobs worries, hesitation about entering private industry instead of seeking public accounting experience, etc.). The economy – if you haven’t noticed – sucks. You’re entering a job market that is sputtering around nine percent unemployment and approximately 103 percent underemployment. Your competition is more experienced and potentially has better grades and soft skills than you.

The job market – even for accountants – is a simple numbers game – You apply to 30 jobs. You receive interviews at five. You receive second rounds at three. You hope for one offer. You should be applying to accounting roles in every industry in every sized firm. If they’re seeking an accounting degree, your résumé should be there. Search Indeed, LinkedIn, and the Monsters of the world on your own. Look into your college’s resources for alumni. Get in touch with recruiters in your area to see if they have any entry level or temp to perm positions. Play the numbers and see what hits. Good luck, and keep your head up.

It Appears That Non-Story of LarsonAllen and Clifton Gunderson Merging Is a Real Story Now

Last month we broke the news of LarsonAllen and Clifton Gunderson feeling each other out about a possible merger. At the time, Clifton Gunderson CEO Krista McMasters told Going Concern that the two firms were simply in “exploratory discussions” and it wasn’t a story. Sorta like when two celebrities are seen vacationing on a yacht together. Everyone just assumes they’re banging, will eventually be a couple and the new celeb couple name game begins instantly. However, it turns out that they are “just friends” who are “enjoying time together.” For this particular round, our sources told us that LA and CG were “50/50,” that LarsonAllen had approved the merger and that the new merged firm would be known as CliftonLarsonAllen. Again, at the time of our discussion, Ms. McMasters denied that anything had been decided.

Well, today, it appears that the “exploring” went pretty well and the name game was right on the money:

Clifton Gunderson and LarsonAllen have confirmed they plan to merge in the New Year into a combined firm known as CliftonLarsonAllen. The two firms said Tuesday they would combine, effective January 2, to create one of the top 10 accounting firms in the U.S., with combined revenues of between $550 million and $560 million.

Not to nitpick but by Accounting Today’s count, the combined revenues would be closer to $470 million. I haven’t punched a 10-key in a number of years but that’s the number I got. I guess sometimes you just gotta take their word, amiright? ANYWAY, since these two firms were simply in “exploratory discussions” it’s pretty impressive that they were able to slap this deal together so quickly isn’t it?

The two firms began discussions in the spring and made rapid progress. “As often happens in our profession, firms get together to talk about what it might look like if they ever were to come together and how they might help each other,” said LarsonAllen CEO Gordy Viere.

Gosh, I must have a warped idea of what “exploratory” means. And by “spring” I assume that’s the period between late March and late June? And by rapid progress, does that mean, in three months they were still in “exploratory discussions” and nowhere near a deal, only to fall into each other’s arms less than a month later? I need help with this.

Clifton Gunderson and LarsonAllen to Merge [AT]

German Government Was Under the Impression That a ‘Certified Audit’ Would Find a 55 Billion Euro Accounting Error

Most people are of the opinion that government can’t do anything right. Education? Bah. Economies? Duh. Wars? YEESH. Oddly, politicians are quite fond of mocking the inefficiencies and mistakes of government to better relate to the common folk who don’t put much stock in the government’s operations. This means that politicians must find other people to hold responsible for the mistakes that are happening all around them. This also means that the art of blamestorming is the most coveted skill in all of politics (well, maybe after being able to lie through your teeth). Do things right and you live to fight another day. Do things wrong and you just look like an ass and then have to weather repeated calls for your resignation.

The German government is taking a fair amount of shit for missing a 55 billion euro accounting mistake. This size of a boo-boo can’t really be swept under the rug so, right on cue, the finance minister has turned on the blamethrower full blast:

Finance Minister Wolfgang Schaeuble has summoned executives from the nationalized mortgage bank Hypo Real Estate (HRE) to explain how they made a simple accounting error that ended up raising Germany’s total debt load by 55 billion euros.Schaeuble, in the awkward situation of being humiliated by the windfall that will cut Germany’s debt levels, will also demand answers at a Wednesday meeting from the PwC accountancy firm that signed off on the report.

Schaeuble’s spokesman Martin Kotthaus tried to deflect any blame, saying the ministry received a certified statement from auditors that the balance sheets had been checked and approved. He said it was too early to tell exactly who messed up.

“It’s annoying, to put it diplomatically, when corrections of this dimension are necessary,” said Kotthaus, who was grilled at a news conference. “We had a certified audit of the annual accounts for 2010 and it said everything was in order.”

Right! A certified audit! If there’s anything we’ve all learned, it’s that audits are the one infallible stamp of approval that we can always turn to for confidence. Just ask Lehman Brothers. Or Satyam. Or Li & Fung. Or MF Global. Or Taylor, Bean & Whitaker. Or Koss. Or Countrywide. [breathe, breathe] Or World Capital Group. Or Sino-Forest. Or Colonial Bank. But aside from those, yeah, audits. Those things are solid.

Things You Definitely Need to Take the CPA Exam

Rose from Sleep on CPA is still plugging away at the exam, but when I read her recent REG wrap-up, I noticed a funny bit she included about a fellow tester she encountered at Prometric:

I was so surprised to find a girl at Prometric who doesn’t even know what NTS is!!! She brought a print out of Prometric appointment confirmation. When a staff member was asking her for NTS, she was clueless. A staff member explained her what NTS is and told her to get a printout from her NASBA emails from a nearby Kinkos. I showed her my NTS and she came back with a print out of NTS and wrote her exam.

Can that possibly be true?! Given some of the very obvious questions I’ve gotten over the years, I guess anything is possible.

I’m sure none of you guys will ever have this issue but just in case, let’s go back over what you definitely need to sit for the exam.


1) A map to Prometric or a good GPS – Plug the address in the night before so you have one less thing to worry about on testing day.

2) GAS IN YOUR TANK – I hate to even have to say this but it’s come up (like I said, anything is possible). I’m the kind of person who plays chicken with my gas light, and it’s caused me to be late to work more than once. Fill up the night before.

3) Bring your unexpired, original NTS and AT LEAST two forms of acceptable identification – The number on your NTS will be used as your launch code to begin testing, so you definitely do NOT want to leave it at home. If you are unable to produce your NTS and two forms of identification that match it, you will not be allowed to test and will forfeit your exam fees for that day.

4) Bring extra ID just in case – In most cases, you’ll need an unexpired driver’s license and a credit card, but just in case Prometric staff have issues with your ID and want to hassle you, bring an extra bank card or credit card if you have one. Social Security cards are not accepted as identification for Prometric purposes.

5) Do NOT bring big items into the testing center with you – While you can stash your jacket or purse in Prometric lockers, they cannot accommodate golf bags, large suitcases, garbage bags full of recyclables, etc. So leave your crap at home.

Sorry for the remedial reminder, don’t want to leave anyone behind.

MF Global Collapses as Books Questioned [WSJ]
MF Global Holdings Ltd. collapsed into bankruptcy Monday when a potential buyer bolted over a discrepancy of hundreds of millions of dollars in the beleaguered securities firm’s books, people familiar with the matter said. U.S. regulators are investigating the discrepancy, which relates to money from customers that couldn’t be accounted for as MF Global raced to sell itself, according to people with knowledge of the probe. The probe is at an early stage, and it isn’t clear if the money is missing or if the inconsistencies relate to sloppy bookkeeping. The last-minute dealbreaker came just hours after negotiations led by MF Global Chief Executive Jon S. Corzine had concluded with a tentative agreement on a rescue.

This isn’t looking good: “At the end of its third quarter, the Overstock.com had $18.4 million of net working capital (current assets minus current liabilities). However, the company would have reported a mere $1.4 million of net working capital had it not played a shell game and window dressed its balance sheet during the third quarter. Apparently, the company wanted to avoid reporting dangerously low net working capital going into the fourth quarter, while at the same time it is trying to renegotiate terms of its Master Lease Agreement (sale leaseback) with U.S. Bank.”

This Tax Reform Stuff Can Wait

[I]f we are going to make real progress, we can’t fixate on every overhyped, half-baked tax slogan that comes along. Sooner or later we must get back to basics. Here’s the main question: Should taxes be cut, raised, or reformed without changing overall revenue? The answer is that taxes should be cut in the short term, raised after we are clearly out of our cyclical downturn, and then reformed only after we have settled on the magnitude of tax increases needed for deficit reduction. MF Global Owes CNBC More Money Than PwC

As you may have heard, MF Global Holdings filed for Chapter 11 bankruptcy protection this morning. You may have also heard that for some strange reason, MF owes CNBC about $845k and change. Turns out, that is more money than it owes to PwC ($312,598), Alvarez & Marsal Tax Advisory Services ($65,000), The Siegfried Group ($30,000) and KPMG ($10,000) combined.


The bright side for P. Dubs is that they got most of the $12 million that they charged the company with last year. Of course if the shareholders take this bankruptcy as well as Lehman’s have (not to mention the NYAG and the State of New Jersey), then that really doesn’t serve as much consolation.

PwC Wasn’t About to Let October Pass Without Announcing Their Latest Talent Acquisition From KPMG

If you’ve been paying attention, you know that PwC has made KPMG it’s own personal farm system for partners and directors. It seems that P. Dubs follows all the talent out there and then simply calls the men and women up when they’re ready for the big leagues. We’ve noted four press releases put out by PwC announcing appointments of partner/directors that were brought over from the House of Klynveld. And who knows how many other, non-PR worthy partners, have also joined Team Autumn. Trust us, it’s happening; we hear things.

ANYWAY, in today’s Daily Grind newsletter, I wondered if PwC would take the opportunity of All Hallow’s Eve to pull a trick on KPMG, announcing that yet another partner or director had recently joined up with P. Dubs. My wonderment was largely in jest but I guess I’ve misunderestimated the scamps in PwC’s communications department:

Eric Israel, who joins PwC as a managing director, is a former KPMG managing director and that firm’s US advisory practice leader on climate change and sustainability. He has more than 25 years of experience with KPMG where he began his career in the Netherlands as a Chartered Accountant. Later, Israel moved into sustainability consulting where he has focused his work for nearly 14 years. Israel has global experience in sustainable development concepts and application, finance and sustainability assurance, climate change and carbon consulting & verification, business research and development, as well as knowledge management and corporate governance. He also has participated in the work of organizations such as the Global Reporting Initiative (GRI), the Sustainability Consortium and the AICPA’s and CICA’s joint Sustainability Task Force.

Israel co-founded KPMG’s Global Sustainability Services practice and wrote KPMG’s first Sustainability Audit Manual. He received his BA in Accounting and Business Administration from the University of Amsterdam, Netherlands. He will be based in PwC’s New York office.

In other words, Izzy is was KPMG’s Global Sustainability practice. He wrote the audit manual for crissakes! Of course since he’s just a co-founder, that hopefully means that his fellow co-founder is still around. At least until he/she gets their own press release.
